These Terms and Conditions ("Terms") govern the use of Tochan AI's chat support platform ("the Service") by educational institutions and other organizations ("Client"). By signing a service agreement with Tochan AI, or by using the Service, the Client agrees to be bound by these Terms.
Tochan AI ("we," "us," "the Provider") provides an embeddable AI-powered chat interface that makes publicly available information from the Client's website and knowledge base accessible to end users including students, parents, and staff.
The Service is designed to help end users quickly find publicly available information from the Client's website or other approved knowledge base materials. The Service is delivered as an embeddable code snippet on the Client's frontend.
Tochan AI does not provide legal, medical, financial, or professional advice through the platform. Responses generated by the Service are informational only and should not be relied upon as authoritative.
The Client agrees to:
- Ensure that end users are not prompted or encouraged to input personally identifiable information ("PII") or other sensitive data into the chat interface
- Provide accurate, up-to-date knowledge base content for use in the platform
- Use the Service only for its intended purpose of surfacing publicly available institutional information
- Ensure that any content submitted to Tochan AI for use in the platform does not infringe the intellectual property rights of any third party
- Notify Tochan AI promptly of any suspected misuse of the platform
The Service may not be used to:
- Collect, solicit, or process personally identifiable information from end users
- Distribute unlawful, harmful, defamatory, or misleading content
- Circumvent or attempt to circumvent the intended functionality of the platform
- Reverse engineer, copy, or replicate any part of the Tochan AI platform or underlying technology
Tochan AI reserves the right to suspend or terminate access to the Service if the Client is found to be in violation of these acceptable use terms.
The Service is powered by AI technology, which is experimental. While Tochan AI makes genuine efforts to ensure the platform provides relevant and useful responses, outputs may occasionally be unexpected, inaccurate, or incomplete.
Tochan AI shall not be liable or held responsible for any undesired or unexpected outputs from the platform.
Tochan AI shall not be construed as directly, indirectly, incidentally, or consequentially liable for any damages arising from the use of or reliance on the Service. In all cases, Tochan AI's total liability to the Client shall not exceed the cost of one billing cycle.
No intellectual property rights are transferred to the Client under these Terms or any associated service agreement. All platform technology, systems, software, and underlying infrastructure remain the sole property of Tochan AI.
Content submitted by the Client — including website copy, documents, and knowledge base materials — remains the sole property of the Client. The Client grants Tochan AI a limited, non-exclusive license to use such content solely for the purpose of delivering the Service.
Fees for the Service are set out in the Client's service agreement. Tochan AI reserves the right to suspend access to the Service in the event of non-payment.
Refunds following termination will be considered on a case-by-case basis at Tochan AI's discretion.
Either party may terminate the service agreement in writing at any time prior to the next renewal date.
Upon termination, Tochan AI will cease serving the Client's deployment. Knowledge base materials will be removed upon written request.
Tochan AI reserves the right to modify the Service or these Terms at any time. Clients will be notified of material changes via email or through the platform. Continued use of the Service after such notification constitutes acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of the State of Illinois.
These Terms, together with the Client's signed service agreement and Tochan AI's Privacy Policy, constitute the entire agreement between the parties with respect to the Service and supersede all prior agreements or understandings, whether written or oral.
